Terms of Service
Terms of Service
Last updated: October 1, 2026
These Terms of Service (“Terms”) govern your use of the websites, platform, and services operated by Ridge AI, LLC (ridge.si) (collectively, “Ridge,” “we,” “us,” or “our”).
Acceptance of Terms and Eligibility
By accessing or using any website or service operated by Ridge (the “Services”), you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other entity, you represent that you have authority to bind that entity, and “you” refers to that entity. If you do not agree, do not use the Services.
You must be at least 18 years of age. You agree to provide accurate and complete information and to keep it current. You are responsible for maintaining the confidentiality of your account credentials and for all activity occurring under your account. You will notify us promptly of any unauthorized use of your account.
The Services
Ridge provides access to its AI sales intelligence platform and related managed services on a non-exclusive basis. Depending on your order form or statement of work, the Services may include target account and lead identification, campaign strategy and messaging development, managed outbound execution through approved channels, lead response handling and qualification support, CRM tracking and reporting, ongoing optimization, workflow automations and AI agents, and regular strategy meetings.
Ridge is an independent contractor and maintains complete control over its personnel, methods, systems, and operations. Nothing in these Terms creates a partnership, joint venture, agency, fiduciary, or employment relationship between you and Ridge, and neither party has authority to bind the other unless expressly authorized in writing.
Specific engagements are governed by individual order forms or service agreements between you and Ridge AI, LLC. Scope, deliverables, and commercial terms are defined in those documents. Where an order form or service agreement conflicts with these Terms, it controls as to the commercial terms it sets out.
We may modify, suspend, or discontinue any part of the Services with reasonable notice, except where immediate action is required for security, legal compliance, or to prevent harm.
Customer Duties
To allow us to deliver the Services, you agree to:
Provide accurate information regarding your products and services, target customers, sales process, and compliance requirements.
Provide timely access to any systems, accounts, domains, calendars, inboxes, CRMs, or other tools required for service delivery.
Respond to our questions, approval requests, and feedback requests within three (3) business days.
Maintain any third-party licenses, subscriptions, and account standing required for the channels you elect to use.
Attend booked meetings promptly and follow up with prospects in a commercially reasonable manner.
Attend scheduled strategy sessions and otherwise cooperate in good faith with the engagement.
Ridge is not responsible for delays, missed opportunities, or reduced performance caused by your failure to provide timely access, responses, approvals, or follow-up, or by material changes to your offer, ideal customer profile, or sales process.
Third-Party Platforms and Channel Risk
Certain Services involve third-party platforms, including LinkedIn, LinkedIn Sales Navigator, email providers, CRM systems, browser extensions, and similar tools that Ridge does not own or control. You acknowledge and agree that:
Ridge does not own, operate, or control LinkedIn or any other third-party platform.
Third-party platforms may change their policies, algorithms, permissions, features, pricing, deliverability, rate limits, or terms of service at any time.
Account restrictions, suspensions, throttling, reduced reach, message delivery limitations, or similar platform actions may occur for reasons outside Ridge’s control.
Ridge makes no representation or warranty regarding the continued availability, performance, deliverability, or permissibility of any third-party platform.
To the fullest extent permitted by law, Ridge has no liability for any losses, claims, suspensions, restrictions, interruptions, reduced performance, or damages arising out of or relating to the actions or inactions of LinkedIn or any other third-party platform, except to the extent caused by Ridge’s gross negligence or willful misconduct.
You are solely responsible for your decision to use any particular outreach channel, and for compliance with the terms, policies, and acceptable use requirements of your own accounts and third-party vendors.
Connected Accounts, Credentials, and Your Data
Account access. If the Services require account access, you will provide the credentials, permissions, or technical access necessary for us to perform them. This may include account login permissions, linked calendar access, CRM access, domain setup, or access through approved integrations or browser-based tooling. All accounts, credentials, and underlying account ownership remain your property and responsibility. We will use commercially reasonable measures to protect confidential credentials and will use such access solely to deliver the Services.
Third-party accounts. Where you connect a third-party account such as Google or Microsoft, you authorize Ridge to access that account within the permissions you grant, and you remain bound by that provider’s own terms. You may revoke access at any time, though doing so may disable features that depend on it. Our handling of Google user data is described in our Privacy Policy and is governed by the Google API Services User Data Policy, including its Limited Use requirements.
License to operate. You grant Ridge a limited, non-exclusive, worldwide, royalty-free license to host, store, process, transmit, display, and create derivative works of the data you upload or connect (“Customer Data”), solely to the extent necessary to provide, secure, support, and improve the Services for you. This license ends when you delete the Customer Data or close your account, except for copies retained in routine backups until purged.
Ownership. As between you and Ridge, you retain all right, title, and interest in Customer Data. We claim no ownership of it.
Your Outbound Communications
Ridge helps you draft and send communications, but the communications are yours. You are solely responsible for the messages sent from or on behalf of your accounts, and you represent and warrant that:
You have a lawful basis to contact each recipient and have obtained any consent required in their jurisdiction.
Your messages comply with all applicable law, including the CAN-SPAM Act, the Telephone Consumer Protection Act where relevant, the UK and EU GDPR, PECR, and CASL.
You maintain and honor suppression and opt-out requests, and will process unsubscribe requests promptly.
Your messages accurately identify you as the sender and do not use deceptive subject lines or header information.
You will not use the Services to contact individuals who have asked not to be contacted.
Ridge does not review or approve the content of your communications and has no obligation to do so.
Acceptable Use
You will not, and will not permit anyone else to:
Use the Services for any unlawful, infringing, deceptive, or harmful purpose.
Send unsolicited bulk communications, or any communication that violates applicable anti-spam or electronic-communications law.
Upload or connect data you do not have the right to provide to us.
Attempt to gain unauthorized access to the Services, other accounts, or our infrastructure.
Reverse engineer, decompile, or attempt to derive the source code of the Services.
Resell, sublicense, or provide the Services to a third party except as expressly permitted in a service agreement.
Use the Services to build a competing product, or to benchmark them for a competitor.
Interfere with the integrity or performance of the Services, including by circumventing rate limits or sending volumes that place undue load on our systems.
We may suspend access immediately where we reasonably believe this section has been breached.
Artificial Intelligence
Ridge uses artificial intelligence, and AI can make mistakes. Our Services incorporate AI and machine-learning technologies that may generate outputs that are inaccurate, incomplete, outdated, or otherwise unsuitable. Ridge does not guarantee the accuracy, completeness, or reliability of any AI-generated content, recommendation, account intelligence, outreach suggestion, or agent action. You are solely responsible for reviewing, verifying, and deciding whether and how to use any such output. Do not rely on Ridge outputs as the sole basis for business or other important decisions.
You are responsible for any communication you send that incorporates AI-generated content, to the same extent as if you had written it yourself.
Intellectual Property
All content, trademarks, logos, software, and intellectual property comprising the Services are owned by Ridge AI, LLC or its licensors. Except for the rights expressly granted here, no license is conveyed. You may not reproduce, distribute, modify, or create derivative works of the Services without our prior written consent.
If you provide feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use them without obligation to you.
Fees, Payment, and Refunds
Fees are set out in your order form or at the point of purchase and are payable in accordance with that document. You authorize us to charge your designated payment method for all amounts due. Fees are exclusive of taxes, which are your responsibility. Overdue amounts may be subject to late charges as set out in your order form, and we may suspend the Services while amounts remain unpaid without waiving any payment rights. Early termination terms, if any, are set out in your order form.
All sales are final, and fees are non-refundable except as expressly stated in your order form.
No chargebacks. You agree not to initiate, file, or cause to be filed any chargeback, reversal, or dispute of a properly invoiced charge with your card issuer, bank, or payment provider. If you have a billing concern, please contact us at sales@ridge.si within 30 days of the charge and we will investigate in good faith. Initiating an improper chargeback is a material breach of these Terms. If you do so, we may immediately suspend or terminate your access to the Services, and you agree to reimburse us on demand for the disputed amount, together with any chargeback fees, processor fees, collection costs, and reasonable attorneys’ fees we incur as a result, in addition to any other remedy available to us. Nothing in this section limits your rights with respect to fraud or charges you did not actually authorize.
Confidentiality
Each party may receive confidential or proprietary information of the other in connection with the Services. The receiving party will use it only to perform under these Terms, will protect it with at least reasonable care, and will not disclose it except to personnel and advisers who need it and are bound by comparable obligations, or where compelled by law with prompt notice where permitted. Confidential information does not include information that is publicly known, independently developed without use of the other party’s information, or lawfully obtained from a third party without restriction.
Disclaimers
Except as expressly stated in a written service agreement or order form, the Services are provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including any implied warranty of merchantability, fitness for a particular purpose, title, or non-infringement. We do not warrant that the Services will be uninterrupted, timely, secure, or error-free, or that defects will be corrected.
Limitation of Liability
To the fullest extent permitted by law, Ridge AI, LLC and its affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or relating to these Terms or the Services, whether in contract, tort, or any other theory, and whether or not we were advised of the possibility of such damages. Ridge is also not liable for the acts, omissions, outages, restrictions, policy changes, suspensions, bans, rate limits, deliverability changes, or performance issues of LinkedIn or any other third-party platform.
Our total cumulative liability arising out of or relating to these Terms or the Services will not exceed the total fees actually paid by you to Ridge during the three (3) months immediately preceding the event giving rise to the claim.
These limitations do not apply to gross negligence, willful misconduct, fraud, or liabilities that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence. These limitations apply notwithstanding the failure of any limited remedy of its essential purpose.
Indemnification
You will defend, indemnify, and hold harmless Ridge AI, LLC, its affiliates, officers, members, employees, contractors, and agents from and against any third-party claim, demand, action, loss, liability, damage, cost, or expense (including reasonable attorneys’ fees) arising out of or relating to:
Your products, services, representations, or sales practices.
Your use of the Services, including any communication sent from or on behalf of your accounts and your use of leads, meetings, platform access, or outreach generated through the Services.
Customer Data or other materials, content, offers, or instructions you supply, including any claim that they infringe a third party’s rights or were collected or provided to us unlawfully.
Your breach of these Terms, including Sections 6 and 7.
Your violation of any applicable law, regulation, or third-party platform terms, including anti-spam, privacy, and data-protection law.
Ridge will indemnify you from third-party claims arising directly from Ridge’s gross negligence, willful misconduct, or material violation of law in performing the Services.
The indemnified party will notify the indemnifying party of any claim, allow it to control the defense with counsel reasonably acceptable to the indemnified party, and cooperate at the indemnifying party’s expense. You may not settle a claim in a way that imposes obligations on Ridge without our written consent.
Term, Suspension, and Termination
These Terms apply for as long as you use the Services. You may stop using the Services at any time. Termination of a paid engagement is governed by your order form or service agreement. We may suspend or terminate your access immediately where you materially breach these Terms, engage in abuse or unlawful activity, fail to pay amounts when due, where required by law, or where necessary to protect the Services or other users. In the event of termination for your breach, all unpaid amounts then due become immediately payable. On termination, your right to use the Services ends and we will make Customer Data available for export for 30 days, after which we may delete it.
Governing Law and Venue
These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to its conflict-of-law provisions. Any dispute arising out of or relating to these Terms or the Services will be resolved exclusively in the state or federal courts located in Suffolk County (Boston), Massachusetts, and you consent to the personal jurisdiction of those courts and waive any objection to venue. In any action to enforce these Terms, the prevailing party is entitled to recover its reasonable attorneys’ fees and costs.
General
Force majeure. Neither party is liable for failure or delay caused by events beyond its reasonable control, including outages of third-party infrastructure or provider APIs on which the Services depend.
Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
Severability. If any provision is held unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions stay in effect.
No waiver. Failure to enforce a provision is not a waiver of the right to enforce it later.
Survival. Sections 5, 6, 9, 10, 11, 12, 13, 14, 16, and 17 survive termination.
Entire agreement. These Terms, together with the Privacy Policy and any applicable order form or service agreement, are the entire agreement between you and Ridge on this subject and supersede prior discussions. Any amendment to a signed order form or service agreement must be in writing and signed by both parties.
Changes. We may update these Terms. Where changes are material, we will give notice through the Services or by email before they take effect. Continued use after that constitutes acceptance.
